1. Acceptance of Terms
By accessing or using RightClaw.ai ("RightClaw", "we", "us", or "our"), operated by Right Servers Inc., you agree to be bound by these Terms of Service ("Terms").
If you do not agree to these Terms, you may not access or use the Services. These Terms constitute a legally binding agreement between you and Right Servers Inc.
Consumer notice: If you are a consumer (i.e., using the Services for personal, family, or household purposes), nothing in these Terms limits or excludes rights you have under the Ontario Consumer Protection Act, 2002, or other applicable consumer protection legislation that cannot be waived by agreement. In the event of a conflict between these Terms and mandatory consumer protection law, applicable law prevails.
2. Description of Services
RightClaw.ai provides managed AI agent hosting on dedicated virtual machines, including:
Pre-installed and configured OpenClaw instances
AI-powered tools, automation workflows, and related services
A management dashboard for monitoring and configuring your agent
Security hardening, automated backups, and managed updates
Managed Services Scope: Our obligations under these Terms relate to the hosting infrastructure and platform only. We do not take operational responsibility for your AI agent's outputs, workflows, or third-party integrations. Section 6 governs AI-specific responsibilities.
We may modify, update, suspend, or discontinue any part of the Services at any time. We will provide reasonable notice for material changes that affect your use of the Services.
3. Eligibility
To use the Services, you must:
Be at least 18 years of age (or the age of majority in your jurisdiction)
Have the legal authority to enter into these Terms on behalf of yourself or the organization you represent
Use the Services in compliance with all applicable laws and regulations
Not be a person or entity barred from receiving services under applicable law
4. User Accounts
You are responsible for:
Maintaining the confidentiality and security of your account credentials
All activity that occurs under your account, including actions taken by your AI agent
Providing accurate, current, and complete information during registration
Safeguarding any API keys, tokens, or credentials stored on your VM
You must notify us immediately of any unauthorized use of your account. We may suspend or terminate accounts that violate these Terms, pose security risks, or engage in fraudulent activity.
5. Acceptable Use
You agree NOT to use RightClaw.ai to:
Violate any applicable laws, regulations, or third-party rights
Process, store, or transmit unlawful, harmful, threatening, abusive, defamatory, or infringing content
Submit data you do not have the legal right to use or process
Send commercial electronic messages in violation of Canada's Anti-Spam Legislation (CASL), CAN-SPAM, or other applicable anti-spam or commercial messaging laws
Distribute malware, viruses, or harmful code
Attempt to reverse engineer, decompile, or exploit the platform
Interfere with system integrity, security, or performance
Conduct unauthorized security testing or vulnerability scanning
Access other customers' virtual machines or data
Engage in cryptocurrency mining
Violate the terms of service of any third-party AI provider you connect
Violation may result in immediate suspension or termination without refund.
6. AI-Specific Terms
6.1 Nature of AI Outputs
You acknowledge and agree that:
AI-generated outputs may be inaccurate, incomplete, misleading, or biased
Outputs are provided on an "as-is" basis without any warranty of accuracy
You are solely responsible for reviewing and validating all AI outputs before relying on them
AI outputs should not be used as the sole basis for business, legal, financial, medical, or other critical decisions
RightClaw is not responsible for any decisions or actions taken based on AI-generated outputs
6.2 Responsibility for Inputs
You are solely responsible for:
All data, prompts, and content you submit to the platform or your AI agent
Ensuring you have all necessary legal rights and consents to process that data
Compliance with applicable data protection and privacy laws
Reviewing the terms of any third-party AI providers you connect
6.3 AI Agent Authority and Autonomous Actions
No legal agency: Your AI agent is a software tool. It does not act as a legal agent of Right Servers Inc. and has no authority to bind Right Servers Inc. to any obligation, contract, or representation.
Customer responsibility for autonomous actions: When you deploy an AI agent with autonomous capabilities (e.g., sending emails, executing transactions, interacting with third-party services), you are solely responsible for all actions taken by that agent. You must implement appropriate oversight, review processes, and safeguards before enabling autonomous operations.
Kill switch obligation: You are required to maintain the ability to immediately suspend or terminate your AI agent's operations. If your AI agent is causing harm, violating applicable law, or operating outside intended parameters, you must immediately intervene. Right Servers Inc. reserves the right to suspend your VM in the event of a reported emergency where the agent is causing material harm and you are unreachable.
6.4 Skills and Capabilities
RightClaw may provide or make available skills, plugins, or workflow templates ("Skills"). Skills undergo a limited, point-in-time internal review prior to being made available. This review does not constitute:
A guarantee that a Skill will perform as intended in your specific context
A warranty of fitness for any particular purpose
An endorsement of any third-party service a Skill connects to
Legal, financial, or compliance advice regarding the Skill's use
You are responsible for evaluating whether any Skill is appropriate for your use case and for monitoring its performance.
6.5 Prohibited AI Use
You may not use the platform to:
Generate illegal, harmful, abusive, or discriminatory content
Conduct fraud, deception, social engineering, or manipulation
Create content that impersonates individuals or organizations
Process highly sensitive regulated data without appropriate safeguards
Circumvent safety measures of connected AI providers
Generate content that violates intellectual property rights
6.6 AI Processing Architecture
Your AI agent runs on a dedicated VM provisioned exclusively for your account. Prompts and data are processed directly between your VM and the AI providers you configure. Right Servers does not intercept, access, monitor, or store your AI conversations, prompts, or completions.
7. EU AI Act Compliance
Right Servers Inc.'s role under the EU AI Act is assessed on a component-by-component basis:
Infrastructure provider: As a VM hosting provider, Right Servers acts as an infrastructure layer and is not the developer or deployer of any AI model
Platform components: Platform tools built into the RightClaw dashboard that involve AI functionality are assessed individually for their risk classification
Customer as operator: If you deploy AI systems on our infrastructure that interact with natural persons, you are likely the "operator" under the EU AI Act. You are responsible for compliance, conformity assessments for high-risk systems, record-keeping obligations, and ensuring prohibited AI practices are not deployed
Right Servers will not knowingly support deployments involving AI practices prohibited under Article 5 of the EU AI Act.
8. Data & Privacy
Your use of the Services is governed by our Privacy Policy, incorporated into these Terms by reference.
Key principles: We do not sell your data. We do not use your data to train AI models. Your AI conversations remain private. Each customer environment is fully isolated.
9. Payments & Billing
9.1 Fees and Billing Cycles
Fees are billed according to your selected plan (monthly, annual, or biennial)
All prices are in US Dollars (USD)
Billing occurs at the start of each billing period
No setup fees for standard plans
9.2 Payment Methods
We accept credit cards and PayPal. Enterprise customers may request invoiced billing by contacting sales@rightservers.com.
9.3 Late Payment
14 days overdue: account may be suspended
30 days overdue: account may be terminated and data permanently deleted
9.4 Price Changes
We may change pricing with at least 30 days' written notice. Changes take effect at your next billing cycle. You may cancel before new pricing applies.
9.5 Refunds
Consumer customers: The 7-day cooling-off period under Ontario's Consumer Protection Act applies to new subscriptions. Refund requests must be submitted to support@rightservers.com within 7 days of purchase.
Monthly plans: No refunds for partial periods outside the cooling-off period
Annual/biennial plans: Pro-rated refunds at our discretion within 30 days of purchase
Accounts terminated for violations: Not eligible for refunds
Downtime credits: Pro-rated service credits for verified outages exceeding SLA thresholds; not refundable as cash
10. Intellectual Property
10.1 Platform Ownership
RightClaw.ai, the dashboard, all related technology, trademarks, and documentation remain the exclusive property of Right Servers Inc.
10.2 Your Data and Outputs
You retain full ownership of all data you submit, all content on your VM, all AI-generated outputs, and all configurations you create. RightClaw does not claim any ownership, license, or IP rights over your data or AI outputs.
10.3 License to Operate
You grant us a limited, non-exclusive license to process your account data solely to provide and maintain the Services, process billing, provide support, and comply with legal obligations. This license does not extend to your AI conversations.
10.4 OpenClaw
The OpenClaw software framework is licensed under the MIT License. Your use of OpenClaw is governed by those license terms in addition to these Terms.
11. Third-Party Services
RightClaw relies on third-party providers including AI model providers, payment processors, infrastructure providers, and DNS/security services. We are not responsible for their availability, performance, policies, or data processing practices.
12. Service Availability & Uptime
Uptime target: 99.9% (excluding scheduled maintenance, force majeure, DDoS, third-party outages, and customer-caused issues).
Services are provided on an "as available" basis without guarantee of continuous or error-free operation.
Backups: Daily automated backups, retained 7 days. You are responsible for your own critical data copies.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW: THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE MAKE NO GUARANTEES REGARDING AI-GENERATED OUTPUTS.
Consumer rights: Nothing in this section limits statutory warranties or guarantees available to consumers under the Ontario Consumer Protection Act, 2002, or other mandatory consumer protection legislation applicable in your jurisdiction.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: RightClaw shall not be liable for indirect, incidental, special, consequential, or punitive damages; loss of profits, data, or business opportunities; or decisions based on AI outputs.
Total aggregate liability shall not exceed the amount paid by you in the three (3) months preceding the claim.
Consumer carve-outs: The limitations in this section do not apply to:
Death or personal injury caused by our negligence
Fraud or fraudulent misrepresentation
Any liability that cannot be excluded or limited under the Ontario Consumer Protection Act, 2002, or other mandatory applicable consumer protection law
Statutory remedies available to consumers that cannot be contracted out of
15. Dispute Resolution
Disputes should first be raised with our support team at support@rightservers.com. We aim to resolve complaints within 15 business days.
Business customers: Disputes that cannot be resolved informally are subject to binding arbitration under the Arbitration Act, 1991 (Ontario), with proceedings in English in Waterloo, Ontario.
Consumer carve-outs: If you are a consumer, the mandatory arbitration provision above does not apply to you. Consumers may pursue claims in small claims court or through any dispute resolution mechanism available under applicable consumer protection law, including rights under the Ontario Consumer Protection Act, 2002. Class action waivers are not enforceable against consumers where prohibited by applicable law.
16. Indemnification
You agree to indemnify and hold harmless Right Servers Inc. from claims arising from your use of the Services, your data or content, violations of these Terms, or violations of applicable law or third-party rights.
17. Termination
By you: Cancel anytime via the client portal, effective end of current billing period.
By us: Immediately for material violations or non-payment; with 30 days' notice otherwise.
Effect of termination: Access ceases upon termination. VM data is retained for 30 days following termination, during which you may request a copy, and is then permanently deleted. Sections 6, 10, 13, 14, 15, and 18 survive termination.
Note on data retention and access: While §6.6 states Right Servers does not access AI conversations, your VM data (files, configurations, agent state) is retained for 30 days post-termination solely to enable data retrieval. This retention is distinct from monitoring or accessing AI conversation content.
18. Governing Law
These Terms are governed by the laws of the Province of Ontario, Canada. Subject to the dispute resolution provisions above, disputes are subject to the jurisdiction of Ontario courts.
19. Changes to Terms
We may update these Terms with at least 30 days' notice via email or platform notification. Continued use after the effective date constitutes acceptance.
For consumers, where required by applicable law, we will provide additional notice or obtain consent for material changes.
20. Miscellaneous
Entire Agreement: These Terms + Privacy Policy constitute the entire agreement.
Severability: Unenforceable provisions do not affect the remainder.
Waiver: Failure to enforce a provision is not a waiver.
Assignment: You may not assign without consent. We may assign in connection with a business transfer.
Language: These Terms are in English.
